Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KOmpare TCG mobile application, the websites at kopulls.com and komparetcg.com, and any related services (collectively, the "Service"), provided by dab Media LLC ("KOmpare," "we," "us," or "our"). Please read these Terms carefully. By using the Service, you agree to be bound by them.

1. Acceptance of Terms

By creating an account, downloading or installing the app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

KOmpare is a point-of-sale ("POS") application designed for vendors who buy and sell trading cards at card shows and similar events. Features include on-device card catalog search, multi-source price lookup and comparison, live trade tracking, and the ability to generate shareable links describing a trade offer. The Service is a tool to help you run your business; KOmpare is not a party to any transaction between you and another person.

3. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. The KOmpare app is intended for business use by vendors and is not directed to anyone under 18. By using the Service you represent that you meet these requirements.

You agree to provide accurate, current, and complete information when you create your account, and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Misrepresent your identity, impersonate another person, or use another person's account without permission;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, our infrastructure, or other users' accounts or data;
• Reverse engineer, decompile, scrape, or systematically extract data from the Service except as expressly permitted by these Terms or by applicable law;
• Use the Service to harass, abuse, defraud, or harm another person; or
• Upload or transmit content that is illegal, infringing, or that you do not have the right to share.

5. Trade Offers and Shareable Deal Links

KOmpare lets vendors generate a shareable link describing a proposed trade (the cards on each side, totals, expiry). These links are a convenience tool for vendors negotiating with their customers. They are informational only — a deal link is not a binding offer or contract, and KOmpare is not a party to any resulting trade.

A deal link represents a non-binding offer extended only to the person the vendor originally negotiated with. If you receive or open a deal link that was not extended to you, the offer is not extended to you and the vendor has no obligation to fulfill it.

Each party is responsible for confirming the terms of any trade and for completing it lawfully (including any applicable taxes, identification, or age requirements). KOmpare does not verify the identity of the parties to a trade or the authenticity, condition, or ownership of any item described in a trade.

6. Pricing Data Disclaimer

The Service surfaces pricing data and comparable-sale information from third-party sources (for example, TCGplayer-derived benchmarks and other market data providers). This data is provided "as is" and for informational purposes only. KOmpare does not guarantee its accuracy, completeness, timeliness, or fitness for any particular purpose, and does not warrant that any quoted price reflects the price at which an item can actually be bought, sold, or appraised. You are solely responsible for the prices you choose to use in your own trades.

Pricing data and any other information in the Service is not financial, investment, tax, or appraisal advice. Trading cards and sealed products are not presented as investments, and nothing in the Service is a recommendation to buy, sell, or hold any item.

7. Subscriptions (KOmpare Pro)

Core features of the Service — card scanning, price lookup, trade tracking, and deal links — are free. KOmpare Pro is an optional paid subscription that unlocks additional features (currently inventory, profit-and-loss reports, show reports, and CSV export). The features included in Pro may change over time.

Purchases in the iOS and Android apps

• Price and term. KOmpare Pro is offered as an auto-renewing subscription with a monthly or yearly term. The price, including any applicable taxes, is shown in the app before you confirm the purchase and may vary by country.
• Payment. Payment is charged to your Apple Account (App Store) or Google Play account at confirmation of purchase. Apple or Google, not KOmpare, processes the payment.
• Automatic renewal. Your subscription renews automatically for the same term at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the end of the current period.
• Managing and cancelling. You can manage or cancel your subscription at any time in your Apple Account or Google Play account settings (the KOmpare Pro screen in the app links there). Cancellation takes effect at the end of the current paid period; you keep Pro until then.
• Refunds. Refund requests for purchases made through the App Store or Google Play are handled by Apple or Google under their refund policies; KOmpare cannot issue refunds for those purchases.
• Free trials and offers. If a free trial or introductory offer is shown at purchase, its terms are shown before you confirm. Any unused portion of a free trial is forfeited when you purchase a subscription.
• Price changes. If the price changes, you will be notified as required by Apple or Google, and, where required, asked to agree before the new price applies.
• Deleting your account does not cancel a subscription bought through Apple or Google. Cancel it in your store account settings.

Purchases on the web

If you subscribe on our website, payment is processed by Stripe, the price and term are shown at checkout, and the subscription renews automatically until you cancel it through the subscription management page linked from the app. Except where required by law or stated at the time of purchase, web subscription fees are non-refundable, and cancellation takes effect at the end of the current paid period. A web subscription is cancelled when you delete your account.

Apple App Store terms

If you downloaded the app from the Apple App Store, your license to use the app is also governed by Apple’s Licensed Application End User License Agreement (the “Standard EULA”), which applies together with these Terms. If you use the iOS app, you and dab Media LLC also acknowledge and agree that:

• These Terms are between you and dab Media LLC only, not Apple, and dab Media LLC, not Apple, is solely responsible for the app and its content.
• Your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide any maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are dab Media LLC’s responsibility, to the extent not disclaimed in these Terms.
• dab Media LLC, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession and use of it, including product-liability claims, claims that the app fails to conform to any applicable legal or regulatory requirement, and claims under consumer-protection, privacy, or similar laws.
• If a third party claims that the app or your possession and use of it infringes that third party’s intellectual-property rights, dab Media LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
• You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with applicable third-party terms of agreement when using the app. Questions, complaints, or claims about the app go to dab Media LLC at the contact details in “Contact Us” below.
• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

8. Vendor Payments (Stripe Connect)

The Service lets vendors accept card payments from their in-person customers through a deal link. This feature is optional and is provided through Stripe Connect.

• Stripe account. To accept payments you must create a Stripe connected account and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Services Agreement”). By using this feature you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time, and you authorize KOmpare to share information about you and your transactions with Stripe and to receive information about your Stripe account and payments from Stripe.
• You are the seller. Each payment made through a deal link is a sale between you and your customer. You are the seller and merchant of record. KOmpare is not a party to that sale, is not a payment processor or money transmitter, and does not hold your funds; payments settle to your Stripe account and are paid out by Stripe on Stripe’s schedule.
• Your responsibilities. You are solely responsible for the items you sell (including their description, condition, authenticity, and delivery); for determining, collecting, reporting, and remitting any sales, use, or other taxes (the Service only applies the tax rate you set); for refunds, returns, chargebacks, and disputes, including any amounts, fees, or losses Stripe deducts from your balance as a result; and for complying with all laws that apply to your sales and with Stripe’s policies.
• Fees. Stripe charges its processing fees directly to your Stripe balance. KOmpare charges a platform fee, currently 3% of the subtotal, or 1% with KOmpare Pro (excluding sales tax) of each card payment made through a deal link, which Stripe collects for us when the payment is made. The rate is set by whether you hold KOmpare Pro at the moment the payment link is created. The fee is rounded to the nearest cent. We may waive the platform fee for some vendors at our discretion. We may change the fee with at least 30 days’ notice in the app or by email. If a payment is refunded in full, the platform fee is returned to you; it is not returned for partial refunds or lost disputes.
• Suspension. We may disable payments on deal links for your account if Stripe restricts your account, if we suspect fraud or misuse, or as described in “Termination” below.

9. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by dab Media LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or internal business use, subject to these Terms.

You retain ownership of the trade and business data you enter into the Service. You grant us a limited license to host, process, and display that data as necessary to operate and improve the Service.

10. License to Use Trade Data; Aggregated and De-Identified Data

By using the Service, you grant KOmpare a perpetual, worldwide, royalty-free, irrevocable, sublicensable, and transferable license to use the trade, pricing, and transactional data you enter into or generate through the Service (the "Trade Data") to operate, maintain, and improve the Service.

You further grant KOmpare a perpetual, worldwide, royalty-free, irrevocable, sublicensable, and transferable right to produce aggregated and de-identified data derived from your Trade Data — that is, data combined with data from other vendors and stripped of direct identifiers so that it does not, on its own, reasonably identify you, your customers, or any individual — and to use, analyze, license, share, and sell that aggregated and de-identified data for any lawful purpose, including (without limitation) analytics, research, product development, publishing market benchmarks and indexes, other commercial data products, and the training, evaluation, and improvement of machine-learning and artificial-intelligence models, whether developed by KOmpare or by third parties. These rights survive termination of your account.

This license is consistent with our Privacy Policy, which describes how we treat personal information separately from aggregated and de-identified data (see "Aggregated and De-Identified Data" in the Privacy Policy). Nothing in this Section grants KOmpare the right to sell your personal identifying information.

Card scan images. When you correct what the app's card scanner matched, the app sends KOmpare a cropped image of that card, the card you chose, and how it was ranked (see "Card scan images" in the Privacy Policy). You grant KOmpare a perpetual, worldwide, royalty-free, irrevocable, sublicensable, and transferable license to store those images and use them, alone or with third parties who help us, to train, test, and improve card-recognition and other machine-learning and artificial-intelligence models and the Service. You can stop sending them at any time in the app's Settings; images already sent may remain in our training sets. You represent that you may take and share those images of the cards you scan.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of data. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected, or that the Service will meet your business needs.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall dab Media LLC, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of (or inability to use) the Service, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) US $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless dab Media LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any law or the rights of any third party, including any party to a trade you conduct using the Service; or (iv) any content or data you submit through the Service.

14. Termination

You may stop using the Service and delete your account at any time, in the app or as described at komparetcg.com/delete-account. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will survive.

15. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. You and KOmpare agree to submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington, for the resolution of any such dispute, except where prohibited by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, when changes are material, take reasonable steps to notify you (for example, by an in-app notice or by email). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms constitute the entire agreement between you and KOmpare with respect to the Service and supersede any prior or contemporaneous agreements on the same subject. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms freely.
